We represent US and foreign businesses in connection with their business arrangements and operations in the US and abroad.  We review and structure a wide variety of business contracts, including foreign representation arrangements, product development, sales and licensing agreements.  We advise on the US government regulation of exports and the International Traffic in Arms Regulations and Export Administration Regulations.

GOVERNMENT

We have substantial experience with government matters including federal procurement and government regulation of business and trade.  We represent government agencies and organizations, corporations and educational institutions in connection with government contracts, business opportunities and disputes.  We advise clients on the application of the Federal Acquisition Regulations (FAR) and Defense Federal Acquisition Supplement (DFARS) and we develop corporate compliance procedures and presentations in the areas of exports, ethics, international business and government procurement.

INTELLECTUAL PROPERTY

We represent leading US and international companies, educational institutions, start-ups and entrepreneurs engaged in the development and commercialization of technology-based products and services.  We routinely advise on the protection and enforcement of copyrights, trademarks and other valuable intellectual property rights.  We help our clients develop their strategies for leveraging innovation into competitive advantage, and we structure and negotiate license agreements.  We also represent franchisors and franchisees in connection with their development of new businesses and their understanding of franchise regulations..

EMPLOYMENT

We represent companies and senior executives in connection with employment issues in the workplace.  We prepare policies and protocols for human relations and personnel functions and we counsel our clients on employment problems, disputes and litigation, including claims of racial, sexual and age discrimination before the Florida Human Rights Commission, the Federal E.E.O.C., and in both State and Federal Courts.  In addition, we prepare and enforce corporate agreements and restrictive covenants.  We also represent entrepreneurs and senior managers who are in the process of obtaining new business opportunities or who are disengaging from their corporate positions.

HEALTH LAW

We represent medical practices in connection with corporate natters, agreements among physicians, practices or hospitals. We also advise on employment and non-compete agreements, the acquisition of products and services and regulatory issues.

REAL Estate LAW

We advise our corporate clients on real estate issues including major corporate transactions, tax free exchange, and corporate leasing arrangements.

Disputes & Litigation

We have been successful with the resolution of disputes before they give rise to litigation. However, in the event litigation is required, we engage a trial team that will best serve the needs of the client in the jurisdiction in which the matter is pending. We also advise management on improving corporate documentation and practices to avoid litigation or to mitigate its effects.

Art & Entertainment

We review and develop agreements for artists and galleries and groups and companies engaged in the business of entertainment.

Antitrust & Trade Regulations

We have extensive experience with antitrust and trade regulations matters and have developed antitrust guidelines for leading US companies. Our Washington, DC affiliate has a strong record of representing US and foreign business entities in connection with federal antitrust litigation.
